1. Agreement to Terms
By accessing the website or engaging services from SouthPoint Bookkeeping LLC (“Company,” “we,” “us”), you (“Client,” “you”) agree to be bound by these Terms of Service. These Terms govern all services, communications, and use of our website.
2. Scope of Services
SouthPoint Bookkeeping provides bookkeeping services, including but not limited to:
Transaction categorization
Bank and credit card reconciliation
Financial reporting (Profit & Loss, Balance Sheet)
Maintenance of financial records in QuickBooks Online
Services do not include tax preparation, tax filing, auditing, or legal advice unless explicitly agreed in writing.
3. Client Responsibilities
You agree to:
Provide accurate, complete, and timely financial information
Grant necessary access to accounts and software
Respond promptly to requests
Ensure all income, including cash, is properly recorded
Failure to meet these responsibilities may result in inaccurate records, for which the Company is not liable.
4. Payment and Subscription Terms
Services are billed monthly unless otherwise agreed
Payment is due upon receipt or via automatic billing (autopay)
Late or failed payments may result in service suspension
Fees are non-refundable once services have begun
The Company reserves the right to adjust pricing based on transaction volume, complexity, or scope of work with notice.
5. Acceptable Use (User Conduct)
You agree not to:
Provide false, misleading, or fraudulent financial information
Use services for illegal activities
Interfere with or disrupt service operations
Attempt unauthorized access to systems or data
Violation of this section may result in immediate termination of services.
6. Intellectual Property
All content, branding, logos, materials, and systems associated with SouthPoint Bookkeeping are the intellectual property of the Company.
You may not reproduce, distribute, or use any materials without prior written consent.
7. Confidentiality
We maintain strict confidentiality of all client information and financial data.
However, we may disclose information:
as required by law
to authorized third-party service providers
with your consent
8. Third-Party Services
We may use third-party platforms, including:
QuickBooks Online
Stripe
We are not responsible for outages, errors, or security issues related to these services.
9. Limitation of Liability
To the fullest extent permitted by law:
The Company is not liable for indirect, incidental, or consequential damages
We are not responsible for financial losses, tax penalties, or business decisions made using provided reports
We are not responsible for data loss, system failures, or errors from third-party software
Maximum liability is limited to the amount paid for services in the previous 30 days
10. Disclaimer of Warranties
Services are provided “as is” without warranties of any kind.
We do not guarantee:
error-free services
uninterrupted access
financial outcomes or performance
11. Termination of Services
Either party may terminate services at any time.
The Company reserves the right to suspend or terminate services immediately if:
payment is not received
terms are violated
fraudulent or suspicious activity is detected
Clients must provide at least 7 days notice before the next billing cycle.
No refunds will be issued for partial billing periods.
12. Independent Contractor
SouthPoint Bookkeeping operates as an independent contractor and is not an employee, partner, or agent of the Client.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
14. Privacy Policy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
15. Changes to Terms
We reserve the right to modify these Terms at any time.
Continued use of services after updates constitutes acceptance of the revised Terms.
